TERMS AND CONDITIONS

These Terms and Conditions ("Terms") govern the use of https://pass.eu.com (the "Website") and the purchase of PASS University courses sold on the Website.
They are a contract between you and PASSECOSYSTEM OÜ, trading as PASS Global ("PASS", "we", "us").
By using the Website you agree to these Terms and to our Privacy Policy. A paid course contract is formed only as described in section 5.
If you do not agree to these Terms, do not use the Website or apply for a course.
1. Who we are

2. What these Terms cover
These Terms apply only to University courses and related enrolment sold on pass.eu.com. They do not apply to PASS Scouting or consulting services.
Courses offered on other PASS websites, including university.pass.eu.com, may have their own terms.
ForPro and UnderSports are independent partners. Their websites, products and services are governed by their own terms. We are not responsible for them.
3. Who may apply
You must be at least 18 years old to apply for or buy a course.
You may contract as a consumer (an individual acting outside a trade, business, craft or profession) or as a business customer (a club, company or other organisation, or an individual acting for one).
If you buy on behalf of an organisation, you confirm that you are authorised to bind it. Business customers do not have the consumer cooling-off rights in section 8.
We may ask you to confirm your status. If you do not, we may treat you as a business customer.
4. Using the Website
You may browse the Website and send enquiries. You must not:
- use the Website in an unlawful way, or in a way that harms the Website, us or other users
- submit false, misleading or someone else's information
- try to gain unauthorised access to the Website or our systems
- copy, scrape or reuse Website content except as allowed by these Terms or by law
5. How a contract is formed
Sending a contact or application form is not a contract. It is a request only.
A contract for a paid course is formed only when (1) we accept your application and (2) payment is made, by Stripe, bank transfer or another method we confirm.
Enrolment may include an application, a selection test, an invoice, online payment, or a mix of these. We will tell you which steps apply to the course you choose.
We may refuse or cancel an application at our discretion, including after a selection test. If we have already taken payment and we refuse or cancel before the course starts for a reason that is not your breach of these Terms, we will refund that payment in full.
6. Courses
Course content, dates, format and price are as described on the Website or in our written confirmation. We may make reasonable changes that do not substantially reduce the overall value of the course (for example a change of lecturer or timetable).
If we cancel a course, we will refund the fees you have paid for that course in full.
Access is provided only for the duration of the live course. Access is not extended if you miss sessions.
Live sessions are not recorded for students who miss them, and we do not provide Zoom or other recordings of missed sessions.
7. Fees and payment
Prices are shown in euro (EUR) on the Website or in our invoice, plus VAT if VAT applies.
Payment is due as stated for the course, by Stripe or bank transfer to PASSECOSYSTEM OÜ. You are responsible for any bank charges on your side.
A deposit or first instalment, once the cooling-off period in section 8 has ended (or if it does not apply to you), is non-refundable if you do not pay the rest or you withdraw from the course.
Unless these Terms or mandatory law say otherwise, you may not reduce the price because you did not use the course.
8. Cooling-off and refunds
This section distinguishes consumers from business customers.
Consumers (individuals)
- If you are a consumer, you have 14 days from the day the contract is formed (section 5) to withdraw without giving a reason.
- To withdraw, email office@pass.ua or university@pass.ua within that period. We will refund all payments received from you, including any deposit, without undue delay and within 14 days of receiving the withdrawal, using the same payment method unless we agree otherwise.
- If you ask us to start the course, or we give you access to digital course content, during the 14 days, you may lose the right to withdraw, or we may charge a reasonable amount for what has already been provided, as allowed by Estonian and EU consumer law. We will ask for your clear request and acknowledgement where the law requires it.
Clubs, companies and other business customers
- Business customers have no cooling-off or withdrawal right.
- Deposits and other payments are non-refundable except as stated in this section 8.
After the 14-day period (and in all cases for business customers)
- No refunds if you cancel, miss the course, fail to attend, or fail to pay remaining instalments.
- Deposits are not refunded.
- Exception: if we cancel the course, we refund the fees you paid for it in full.
Nothing in this section limits any refund we must give you under mandatory consumer law.
9. Completion and certificates
If you complete the course, we will issue a certificate of completion. The certificate may include a completion score.
We decide, acting reasonably, whether the completion requirements have been met (for example attendance and required work).
A certificate is not an academic degree, professional licence or regulated qualification unless we say so in writing for that course.
10. Third-party tools
A course may include access to third-party tools for the course period only (for example Zoom, Skillcorner or UnderSports). Access ends when the live course ends.
Those tools are provided by their vendors under their own terms and privacy policies. We are not responsible for their availability, content or acts, except where we cannot exclude liability under applicable law.
11. Student conduct
You must:
- use the course personally; you may not share your login, seat or materials with anyone else, or buy one place for several people
- not record, copy, distribute or reuse lectures, materials or software, publicly or privately, except for your own study during the course
- not use course materials to create your own courses, products or training
- behave respectfully toward other students and lecturers; no abuse, disruption or attendance under the influence of alcohol or illegal drugs
If you breach this section or section 12, we may immediately end the contract, block access without refund, and claim the sums in section 12.
12. Intellectual property
We (or our licensors) own the Website, course names, materials, videos, logos and related intellectual property. We grant you a limited, non-exclusive, non-transferable licence to use them only to take the course you paid for, during the live course.
You must not record, copy, share, publish or otherwise exploit those materials, or give anyone else access to the course.
If you copy, share or otherwise provide course materials, access or recordings to a third party in breach of these Terms, you will pay us a contractual penalty of USD 20,000 (twenty thousand US dollars) within 5 working days of our written demand, in addition to any other rights we have (including terminating access and claiming further damages). We may prove a breach by any reasonable means, including screenshots, logs, messages or third-party reports.
13. Photos and video
We may photograph or record the course and use images or video in which you appear for PASS marketing, on the Website, in social media and in other PASS information materials.
This is separate from identification of you as a student. You can object or withdraw this use by emailing office@pass.ua or university@pass.ua. We will honour that where we must under data protection law. It does not affect processing already carried out, or materials already published that we cannot reasonably recall.
Personal data is processed as described in our Privacy Policy.
14. Partners
Links to ForPro, UnderSports or other partners are for information only. Their terms, not these Terms, govern what you buy or do on their sites. We do not endorse or accept responsibility for their content or services.
15. Liability
We provide the Website and courses with reasonable care and skill. Course materials reflect professional opinion and may not match the views of third parties. We do not promise a job, transfer, licence or particular career result.
To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential loss, or loss of profit, business, data or opportunity.
Our total liability arising out of or in connection with these Terms or a course is limited to the fees you paid us for that course in the 12 months before the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, wilful misconduct, or any liability that Estonian law does not allow us to exclude, including mandatory rights of consumers.
16. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top will change when we do. If you already have a course contract, material changes will not apply to that contract unless we notify you and the law allows it, or you agree.
The version on the Website when your contract is formed applies to that contract, unless a later version is required by law.
17. Governing law and disputes
These Terms and any dispute arising out of them are governed by the law of the Republic of Estonia, without prejudice to mandatory consumer protection rules that apply in your country of residence if you are a consumer in the EU or EEA.
Please email office@pass.ua or university@pass.ua first so we can try to resolve the matter.
If we cannot agree, the courts of Harju County, Tallinn, Estonia have jurisdiction. If you are a consumer in the EU or EEA, you may also bring proceedings in the courts of your country of residence.
If you are a consumer in the EU or EEA, you may also contact the Estonian Consumer Protection and Technical Regulatory Authority (TTJA), https://www.ttja.ee, or your local consumer authority or European Consumer Centre.
